Bash Engineering Limited. Please read these Terms carefully before using the Platform.

By creating an account, accessing or using the Platform, or purchasing or listing a Ticket, you agree to be bound by these Terms.
1. Introduction
1.1 These Terms and Conditions (these “Terms”) govern your access to and use of the website, mobile applications and ticketing and event management platform (together, the “Platform”) operated by Bash Engineering Limited, a company registered in Nigeria (“Bash”, “we”, “us” or “our”).
1.2 These Terms constitute a legally binding agreement between you and Bash. They should be read together with our Data Protection and Privacy Policy and our Cookie Policy, which are incorporated by reference. Where you use the Platform as an Event Organiser or Vendor, you are additionally bound by our Data Processing Agreement (the “DPA”); in the event of conflict in respect of personal-data processing, the DPA prevails.
1.3 Where you use the Platform in a specific capacity (as a Ticket Buyer, Event Organiser or Vendor), the additional provisions applicable to that capacity (set out in Parts B, C and D respectively) apply to you in addition to the general provisions in Part A.
1.4 If you do not agree to these Terms, you must not access or use the Platform.
2. Definitions
- “Account” means the user account created on the Platform.
- “Buyer” or “Ticket Buyer” means a User who purchases, or attempts to purchase, a Ticket via the Platform.
- “Content” means any text, images, audio, video, software, data, ratings, reviews and other material uploaded to, transmitted through or displayed on the Platform.
- “Event” means any event, show, performance, conference, exhibition or other gathering for which Tickets are offered or sold via the Platform.
- “Event Organiser” or “Organiser” means a User who uses the Platform to create, promote, manage or sell Tickets to an Event.
- “Fees” means the fees (if any) payable to Bash in respect of the use of the Platform, as set out in Clause 12 or otherwise notified to Users.
- “Force Majeure Event” has the meaning given in Clause 24.
- “PSSP” means a Payment Solution Service Provider licensed by the Central Bank of Nigeria, including Paystack and Flutterwave.
- “Ticket” means the right, evidenced by an electronic or physical ticket, to attend an Event.
- “User” means any person who accesses or uses the Platform, including Buyers, Organisers and Vendors.
- “Vendor” means, in respect of any vendor marketplace made available on the Platform from time to time, a User who lists or offers goods or services (such as catering, audio-visual, décor, security, photography or logistics) to Event Organisers via the Platform.
Part A — General Provisions
3. The Platform
3.1 The Platform provides: (a) a marketplace for the sale and purchase of Tickets to Events; (b) an event management backend enabling Event Organisers to create and manage Events; and (c) such additional features as we may introduce from time to time (which may, in future, include a vendor marketplace and AI-assisted tools for Organisers).
3.2 Bash provides technology and facilitates transactions between Users. Unless expressly stated otherwise, Bash is not the organiser, promoter, producer or host of any Event, nor the supplier of any goods or services listed by a Vendor.
3.3 Bash reserves the right to amend, suspend, withdraw or modify any part of the Platform or any feature thereof, at any time, without liability to any User, save where liability is expressly provided for by law.
4. Eligibility and Account Registration
4.1 To use certain features of the Platform you must register an Account. By registering an Account, you represent and warrant that: (a) you are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is higher; (b) you have full legal capacity to enter into binding contracts; (c) if registering on behalf of a company or other entity, you have authority to bind that entity; (d) all information provided is true, accurate, current and complete; and (e) you will maintain and promptly update such information.
4.2 You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You shall notify Bash immediately of any unauthorised use of your Account or any other suspected breach of security.
4.3 We may require Event Organisers (and, when the vendor marketplace is available, Vendors) to complete identity, business and bank-account verification (“KYC”) before we facilitate payouts. KYC is performed by us and our verification partners, which currently include Dojah and our PSSPs. We may suspend payouts, listings or Account access pending satisfactory completion of KYC.
4.4 Bash reserves the right to refuse, suspend or terminate any Account, at its sole discretion, including where it reasonably suspects fraud, misuse or breach of these Terms.
5. User Conduct and Prohibited Uses
5.1 You agree not to, and not to permit any third party to:
- (a) use the Platform for any unlawful, fraudulent or unauthorised purpose, or in any manner inconsistent with these Terms;
- (b) violate any applicable law, regulation or third-party right (including intellectual property rights, privacy rights and rights of publicity);
- (c) impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- (d) upload, transmit or distribute any Content that is defamatory, obscene, offensive, discriminatory, threatening, harassing, misleading or otherwise objectionable;
- (e) engage in scalping, bot-driven ticket purchases, bulk or commercial reselling (other than as expressly permitted by the relevant Organiser), or use automated means to access, scrape or monitor the Platform save as permitted by our robots.txt;
- (f) reverse engineer, decompile, disassemble or attempt to derive the source code of the Platform (save to the extent permitted by law);
- (g) introduce any virus, trojan, worm, logic bomb, ransomware or other harmful or malicious code;
- (h) interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure;
- (i) breach the Nigerian Cybercrimes (Prohibition, Prevention, etc.) Act 2015 or any similar law in your jurisdiction;
- (j) make any use of the Platform that is harmful to the safety, security or reputation of Bash, other Users or the general public; or
- (k) circumvent or attempt to circumvent any security, authentication or access-control feature of the Platform, or any hold, refund, chargeback or fraud-prevention control applied by us or our PSSPs.
5.2 Bash may investigate and take such action as it considers appropriate (including suspension, termination, reporting to law enforcement and legal proceedings) in respect of any actual or suspected violation of this Clause 5.
6. Intellectual Property
6.1 All intellectual property rights in the Platform, including software, design, trademarks, logos, databases, content created by Bash, and documentation, are and remain the exclusive property of Bash or its licensors.
6.2 Subject to these Terms, Bash grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purposes. No other right or licence is granted, whether by implication, estoppel or otherwise.
6.3 You shall not use any trademark, logo or other branding of Bash without our prior written consent.
7. User-Generated Content
7.1 You retain ownership of Content that you upload to the Platform. By uploading or submitting Content, you grant Bash a worldwide, non-exclusive, royalty-free, sub-licensable and transferable licence to use, reproduce, distribute, modify, adapt, translate, publicly perform and display such Content for the purposes of operating, promoting and improving the Platform. This licence shall survive termination of these Terms to the extent necessary for Bash to continue to provide the Platform.
7.2 You represent and warrant that you have all necessary rights to grant the licence in Clause 7.1 and that your Content does not infringe the rights of any third party or violate any applicable law.
7.3 Bash reserves the right (but is under no obligation) to monitor, moderate, remove or edit any Content at its discretion, without notice.
7.4 If you submit suggestions, ideas, requests or other feedback about the Platform, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use it for any purpose, without obligation to compensate or credit you.
8. Bash’s Role in Payments
8.1 Bash is a technology platform, not a payment processor. Bash is not a bank, deposit-taking institution, money-services business, electronic-money issuer, or payment service provider in its own right. Bash does not hold a banking, payment-institution or e-money licence.
8.2 All payments on the Platform (including ticket purchases, Vendor payments and payouts to Event Organisers) are processed by PSSPs, including Paystack and Flutterwave. Funds collected from Buyers are received and held by the PSSPs in PSSP-controlled accounts pending settlement to the relevant Organiser and do not form part of Bash’s general operating funds. Bash does not receive, store or process full card numbers or card-verification values.
8.3 By making a payment on the Platform, you also agree to the terms and conditions and privacy notices of the relevant PSSP. You authorise Bash and the PSSP to debit your designated payment method for the full amount of the transaction (including any applicable taxes and fees) and to initiate refunds, payouts and chargeback adjustments on your behalf.
8.4 Bash and its PSSPs may decline, reverse or hold any transaction where they reasonably suspect fraud, money-laundering, terrorism-financing, breach of applicable sanctions, or breach of these Terms, and shall not be liable for any loss or damage arising from any such action taken in good faith.
8.5 We may change the PSSP through which a transaction is routed, or add or replace PSSPs, from time to time, without prior notice.
9. Data Protection
Our collection, use and disclosure of personal data is governed by our Data Protection and Privacy Policy, which complies with the Nigeria Data Protection Act 2023 and, where applicable, the EU General Data Protection Regulation. By using the Platform, you acknowledge that you have read and understood our Data Protection and Privacy Policy.
Part B — Ticket Buyer Terms
10. Ticket Purchases
10.1 When you purchase a Ticket through the Platform, you enter into a contract with the Event Organiser of the relevant Event, not with Bash. Bash facilitates the purchase as a technology platform and processes payment via the relevant PSSP, but is not a party to the contract for attendance at the Event.
10.2 All Tickets are subject to any specific terms and conditions of the Event Organiser, which may include venue rules, age restrictions, dress codes and identification requirements. You are responsible for reviewing and complying with such terms.
10.3 Tickets are personal to the purchaser and may not be resold, transferred or used for commercial purposes without the consent of the Event Organiser. The Event Organiser may refuse admission where it reasonably believes that a Ticket has been resold or transferred in breach of its terms.
10.4 Ticket prices displayed on the Platform are inclusive of applicable taxes unless otherwise indicated. Any service fees, booking fees or other charges will be clearly displayed before you complete your purchase.
10.5 Completion of your purchase is subject to successful payment and final confirmation by the Event Organiser. Tickets will be delivered electronically to the email address associated with your Account or via your Account dashboard.
11. Buyer Fees
At present, Bash does not charge service or booking fees to Buyers. We may introduce such fees in future, in which case the fees will be clearly displayed at checkout (the “Buyer Fees”). Buyer Fees, when introduced, will be non-refundable save where expressly required by law or stated in Clause 12.
12. Refunds and Cancellations
12.1 Event cancellation or postponement. If an Event is cancelled by the Event Organiser, you shall be entitled to a refund of the Ticket price paid (excluding any Buyer Fees, save where the cancellation is due to the Event Organiser’s material default) in accordance with applicable law (including the Federal Competition and Consumer Protection Act 2018 (the “FCCPA”)). Refunds are processed asynchronously through our PSSPs to the original payment method and may take several business days to appear. If the Event is postponed or rescheduled, your Ticket will, unless otherwise stated, be valid for the rescheduled date.
12.2 Per-ticket refundability. Save where Clause 12.1 applies or refund is required by applicable law, whether a particular Ticket is refundable is determined by the Event Organiser. The Event Organiser is responsible for clearly communicating its refund policy at the point of sale and for handling refund requests in accordance with that policy and applicable consumer law. Bash may, in future, allow Organisers to publish event-level terms and conditions for this purpose.
12.3 Consumer rights. Nothing in these Terms excludes, restricts or modifies any right of a consumer under the FCCPA or under the laws of any other applicable jurisdiction (including, for Users in the European Union, rights under the Consumer Rights Directive), which cannot be excluded or modified by agreement.
12.4 Refund requests. Buyers should direct refund-eligibility questions to the relevant Event Organiser. Bash will use reasonable endeavours to facilitate refunds through our PSSPs, but does not adjudicate disputes about whether a particular Ticket is refundable under an Organiser’s policy. Subject to the operation of the refund and chargeback procedures described in Clauses 12.1 and 12.5, Bash shall not itself be liable to refund any amount it has already remitted to an Event Organiser, save to the extent that Bash is legally required to do so.
12.5 Chargebacks. Where a Buyer initiates a chargeback through their card issuer or bank, Bash and the relevant PSSP will respond on behalf of the Organiser. The Organiser is responsible for the full amount of any chargeback ultimately decided against it (including any PSSP chargeback fees), and Bash may recover that amount from the Organiser’s balance, future payouts or by other lawful means.
12.6 Attendee cancellation. A Buyer may cancel an attendee record through the Platform (returning the seat to inventory). Cancellation of an attendee record does not, by itself, entitle the Buyer to a refund of amounts paid; refund entitlement is governed by Clauses 12.1 to 12.3.
13. Attendance at Events
13.1 Attendance at any Event is at your own risk. You agree to comply with all applicable laws, venue rules and instructions of event staff and security personnel.
13.2 The Event Organiser is solely responsible for the organisation, conduct, safety and quality of the Event. Bash shall have no liability in respect of the Event itself, save as expressly provided in these Terms or as required by applicable law.
13.3 Your name, image and voice may be recorded at an Event by the Event Organiser or its agents. Please refer to the Event Organiser’s privacy notice for further information.
Part C — Event Organiser Terms
14. Organiser Registration and Conduct
14.1 To list and sell Tickets to an Event on the Platform, you must: (a) register as an Event Organiser and provide accurate organisational information (including company name, RC number and tax identification number, where applicable); (b) provide bank account details for the receipt of ticket proceeds; and (c) satisfy any identity-verification, anti-money-laundering and sanctions-screening requirements applied by Bash or its PSSPs from time to time.
14.2 You represent and warrant that: (a) you are duly authorised to organise the Event and sell Tickets thereto; (b) the Event, and the sale of Tickets, complies with all applicable laws, regulations and licences (including local authority permits, public entertainment licences and safety regulations); (c) the Event will be conducted in a safe and professional manner; (d) all information provided in respect of the Event is true, accurate, current and complete; and (e) Content uploaded in respect of the Event (including images, descriptions and branding) does not infringe any third-party rights.
14.3 You shall: (a) comply with all applicable consumer protection laws, including the FCCPA, in respect of your dealings with Ticket Buyers; (b) deliver the Event substantially as advertised; (c) communicate promptly with Ticket Buyers regarding material changes, cancellations or postponements; (d) honour all valid Tickets; and (e) comply with the refund and consumer rights provisions set out in Clause 12.
14.4 You acknowledge that you are an independent Data Controller in respect of personal data of Ticket Buyers and attendees, and shall comply with the Nigeria Data Protection Act 2023 and all applicable data protection laws and with the DPA.
15. Remittance of Ticket Proceeds and Fees
15.1 No current commission. At present, Bash does not charge a commission or other Fees on ticket sales. We may introduce or change Fees in future, on reasonable notice to Organisers through the Platform. Any Fees so introduced will be disclosed in the Organiser dashboard before they take effect and will govern transactions thereafter.
15.2 Payout schedule. Ticket proceeds (net of PSSP fees, any applicable Bash Fees, refunds, chargebacks, fraud reserves and applicable taxes) are remitted to the Organiser’s designated bank account in accordance with the payout schedule published in the Platform from time to time. As at the date of these Terms, Organisers are paid out approximately twenty-four (24) hours after the relevant Event ends. We may change the payout schedule on reasonable notice.
15.3 Verified payout account. Organisers must maintain a verified bank account on the Platform to receive payouts. We are not responsible for delays or losses caused by inaccurate or out-of-date payout details.
15.4 Holds and offsets. Bash may withhold, set off or deduct from any amount otherwise payable to you: (a) refund amounts due to Ticket Buyers; (b) chargebacks and associated fees imposed by PSSPs; (c) amounts necessary to cover fraud reserves or other protective measures; (d) any Fees payable to Bash under these Terms; and (e) amounts required to be withheld under applicable law (including taxes and statutory deductions). Bash may also delay or hold a payout where (i) we reasonably suspect fraud, money-laundering, sanctions evasion or other unlawful activity, (ii) required KYC has not been completed, (iii) the Event has been cancelled, postponed or materially changed and refunds may be owed, (iv) chargeback or refund rates exceed reasonable thresholds, (v) we are required to do so by a court, regulator or PSSP, or (vi) we reasonably believe the Organiser is in breach of these Terms.
15.5 Negative balance. Where the Organiser’s balance is insufficient to cover refunds, chargebacks or other amounts owed, the Organiser shall promptly reimburse Bash. We may recover such amounts from future payouts, by direct debit (where authorised) or by other lawful means.
15.6 Tax. You are responsible for all taxes arising from your sale of Tickets (including value-added tax, withholding tax and income tax) and for the issuance of any tax invoices or receipts required by law. Bash shall account only for taxes on any Fee income of its own.
16. Organiser Indemnity
You shall indemnify and hold harmless Bash, its Affiliates, officers, employees and agents from and against any third-party claims, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) any breach by you of these Terms; (b) any breach by you of applicable law (including the FCCPA, Labour Act, Cybercrimes Act and data protection laws); (c) any claim relating to the organisation, conduct, safety or cancellation of an Event; (d) any infringement of third-party rights in Content you upload; (e) any tax liability attributable to your sale of Tickets; and (f) any claim by a Ticket Buyer, Vendor or third party arising out of your act or omission. This indemnity is subject to the procedural and cap provisions of Clauses 22.4 and 23.
Part D — Vendor Terms
Part D applies to Users who list goods or services on the Platform’s vendor marketplace, where such marketplace is made available. Until the vendor marketplace is generally available, Part D applies only to the extent that you actually engage in vendor activities on the Platform.
17. Vendor Registration and Listings
17.1 To list goods or services in the vendor marketplace, you must register as a Vendor and provide accurate information regarding your business, service offerings, pricing and availability.
17.2 You represent and warrant that: (a) you are duly authorised to offer the listed goods or services; (b) you hold all necessary licences, permits, qualifications and insurances; (c) all listings are truthful, accurate and not misleading; (d) the goods or services offered are of satisfactory quality and fit for their intended purpose; and (e) Content uploaded in connection with your listings does not infringe any third-party rights.
17.3 You shall deliver the goods or services in accordance with the agreement reached with the relevant Event Organiser, and in compliance with applicable law (including the FCCPA and any health and safety regulations). Any contract for the provision of Vendor services is between the Event Organiser and the Vendor, not with Bash. Bash’s role is limited to facilitation.
18. Vendor Fees and Payments
18.1 At present, Bash does not charge Vendors a commission on bookings. Where Fees are introduced, they will be set out in the Vendor dashboard before they take effect.
18.2 Payments to Vendors (net of any applicable Fees and deductions) will be remitted to the Vendor’s designated account in accordance with the payout schedule published in the Platform from time to time, subject to the holds and offsets in Clause 15.4 applied mutatis mutandis.
19. Vendor Indemnity
You shall indemnify and hold harmless Bash, its Affiliates, officers, employees and agents from and against any third-party claims, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) any breach by you of these Terms; (b) any breach by you of applicable law; (c) any claim relating to the quality, safety or suitability of the goods or services provided; (d) any infringement of third-party rights in your listings or Content; and (e) any act or omission by you in the performance of services booked via the Platform. This indemnity is subject to the procedural and cap provisions of Clauses 22.4 and 23.
Part E — Liability, Disputes and General Provisions
20. Suspension and Termination
20.1 Bash may, at its sole discretion and without liability, suspend or terminate your Account or access to the Platform (in whole or in part) where: (a) you breach these Terms; (b) Bash is required to do so by law or regulatory authority; (c) Bash reasonably suspects fraud, money-laundering or other unlawful activity; (d) a PSSP requires or reasonably requests such suspension or termination; or (e) Bash discontinues the relevant service.
20.2 You may terminate these Terms at any time by closing your Account, subject to the settlement of outstanding obligations.
20.3 Provisions which by their nature are intended to survive termination (including provisions relating to intellectual property, user-generated content, disclaimers, limitation of liability, indemnities, data protection, dispute resolution and governing law) shall survive termination of these Terms.
21. Disclaimer of Warranties
21.1 The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Bash disclaims all representations, warranties and conditions, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or trade usage.
21.2 Bash does not warrant that the Platform will be uninterrupted, secure or error-free, that defects will be corrected, or that the Platform or its servers are free of viruses or other harmful components.
21.3 Bash makes no representation or warranty regarding the conduct, quality, legality or safety of Events, Vendors or User Content. You interact with other Users at your own risk.
21.4 Nothing in these Terms excludes or limits any warranty, representation or condition implied by law which cannot be lawfully excluded or limited, including rights of consumers under the FCCPA and applicable international consumer-protection laws.
22. Limitation of Liability
22.1 Excluded losses. To the fullest extent permitted by law, Bash (including its Affiliates, officers, employees and agents) shall not be liable for any: (a) indirect, special, incidental, consequential, exemplary or punitive damages; (b) loss of profits, revenue, goodwill, business or anticipated savings; (c) loss of data or content; or (d) loss arising from interruption of business or from reliance on any information on the Platform, whether arising in contract, tort (including negligence), statute or otherwise, and whether or not foreseeable.
22.2 Caps. Subject to Clause 22.5, Bash’s total aggregate liability arising out of or in connection with these Terms and the Platform is capped as follows:
- (a) To a Ticket Buyer: the amount that the Buyer paid Bash (via our PSSPs) in respect of the specific transaction giving rise to the claim.
- (b) To an Organiser or Vendor: the greater of (i) the total Fees paid by that Organiser or Vendor to Bash under these Terms in the twelve (12) months preceding the event giving rise to the claim, and (ii) ₦50,000 (Fifty Thousand Naira).
22.3 Money handled on behalf of Organisers. Bash is not the owner of ticket proceeds collected on behalf of Organisers; those funds are held in PSSP-controlled accounts pending settlement. Bash’s liability to an Organiser in respect of mis-routed or delayed ticket proceeds is limited to taking reasonable steps to instruct the relevant PSSP to correct the position, and in any event is capped as set out in Clause 22.2(b).
22.4 Indemnity procedure. Each indemnity in these Terms is conditional on the indemnified party: (a) giving prompt written notice of the claim; (b) granting the indemnifying party sole control of the defence and settlement (provided that no settlement adversely affecting the indemnified party may be made without its consent, not to be unreasonably withheld); and (c) providing reasonable cooperation at the indemnifying party’s expense.
22.5 Non-excludable liability. Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability which cannot be excluded or limited by law.
22.6 Commercial reasonableness. You acknowledge that the limitations in this Clause 22 are reasonable given the nature of the Platform and the fact that Bash does not currently charge commission, and that without them Bash would not be able to provide the Platform on the current commercial basis.
23. Force Majeure
23.1 Bash shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by any event beyond its reasonable control (a “Force Majeure Event”), including acts of God, natural disasters, pandemics and epidemics, war, terrorism, civil unrest, riots, strikes, government action or restrictions, power or telecommunications outages, cyber-attacks, and interruption or failure of internet or third-party service providers.
23.2 Where a Force Majeure Event prevents performance for more than thirty (30) consecutive days, either party may terminate the affected service(s) upon written notice, without liability to the other party, save in respect of any sums already accrued.
24. Governing Law and Dispute Resolution
24.1 These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws principles.
24.2 Nothing in Clause 24.1 deprives a consumer who is resident in a jurisdiction other than Nigeria of the protection afforded to that consumer by any mandatory provisions of the law of his or her jurisdiction which cannot be derogated from by agreement.
24.3 Any dispute, controversy or claim arising out of or in connection with these Terms shall be resolved as follows:
- (a) Negotiation. The parties shall first attempt in good faith to resolve the dispute by negotiation within thirty (30) days of written notice of the dispute.
- (b) Mediation. Failing resolution under Clause 24.3(a), the parties shall refer the dispute to mediation under the rules of the Lagos Multi-Door Courthouse (or such other mediation centre as the parties may agree) within a further period of thirty (30) days.
- (c) Arbitration or court. If the dispute remains unresolved after mediation, then: (i) for disputes between Bash and a consumer resident in Nigeria, the dispute shall be referred to the competent Nigerian courts (including, where applicable, the Federal Competition and Consumer Protection Tribunal); and (ii) for disputes between Bash and an Event Organiser or Vendor, or between Bash and any User resident outside Nigeria, the dispute shall be finally resolved by arbitration in Lagos, Nigeria under the Arbitration and Mediation Act 2023 by a single arbitrator. The arbitration shall be conducted in English. The seat of arbitration shall be Lagos, Nigeria. The arbitral award shall be final and binding on the parties.
24.4 Nothing in this Clause 24 prevents Bash from seeking urgent injunctive or interim relief in any court of competent jurisdiction.
25. International Users
25.1 The Platform is operated from Nigeria. If you access the Platform from a jurisdiction outside Nigeria, you do so at your own initiative and are responsible for compliance with all applicable local laws.
25.2 Nothing in these Terms is intended to override any mandatory consumer-protection or data-protection rights under the law of the jurisdiction in which you are ordinarily resident.
25.3 You warrant that you are not located in, and will not access or use the Platform from, any jurisdiction subject to comprehensive sanctions imposed by the United Nations, the European Union, the United Kingdom, the United States of America or Nigeria, and that you are not a person subject to such sanctions.
26. Changes to these Terms
26.1 We may amend these Terms from time to time. The revised Terms shall be posted on the Platform, and the “Last Updated” date shall be amended accordingly.
26.2 Where the amendment is material, we shall take reasonable steps to notify you (for example, by email or through a prominent notice on the Platform) at least fourteen (14) days before the amendment takes effect. Your continued use of the Platform following such notification shall constitute acceptance of the amended Terms. If you do not accept the amended Terms, you must stop using the Platform and may close your Account.
27. General Provisions
27.1 Entire Agreement. These Terms (together with the Data Protection and Privacy Policy, Cookie Policy, the DPA where applicable, and any commercial schedule entered into with Bash) constitute the entire agreement between you and Bash and supersede all prior agreements.
27.2 Severability. If any provision of these Terms is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.
27.3 No Waiver. No failure or delay by Bash to exercise any right or remedy under these Terms shall operate as a waiver thereof.
27.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Bash may assign or transfer its rights and obligations to any Affiliate or successor-in-title without your consent.
27.5 No Partnership or Agency. Nothing in these Terms creates any partnership, joint venture, employment, agency or fiduciary relationship between the parties.
27.6 Third Parties. These Terms do not confer any rights on any person who is not a party to them, save that Bash’s Affiliates may enforce any provision of these Terms which is expressed to benefit them.
27.7 Electronic Contracting. You agree that these Terms and any other agreements entered into via the Platform may be concluded by electronic means, including by clicking “I agree” or similar buttons, and that such electronic acceptance shall be valid and binding.
27.8 Notices. Bash may give notice to you by email to the address associated with your Account or by posting a notice on the Platform. You may give notice to Bash by email to hello@usebash.io.
27.9 Language. These Terms are drawn up in English. Where a translation is provided for convenience, the English version shall prevail in the event of any inconsistency.
